Introduction
This Membership Agreement ("Agreement") is entered into between Medical Boulevard Inc., a California corporation ("Medical Boulevard," "we," "us," or "our") and you ("Member"). This Agreement governs your use of our premium medical co-working spaces, equipment, and related services located at 9025 Wilshire Blvd. #202, Beverly Hills, CA 90211.
By executing this Agreement or using any of our services, Member acknowledges that they have read, understood, and agree to be bound by all terms and conditions set forth herein, as well as our Privacy Policy and any additional guidelines, rules, or policies posted on our premises or communicated to members.
WHEREAS, Medical Boulevard operates premium medical co-working facilities; and
WHEREAS, Member desires to obtain access to such facilities and services;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein, the parties agree as follows:
Eligibility & Membership
Eligibility Requirements
To use our services, you must:
- Be a licensed medical professional (MD, DO, NP, PA, or equivalent)
- Maintain active professional liability insurance (minimum $1M/$3M coverage)
- Be at least 18 years of age
- Have legal authorization to practice medicine in California
- Pass our application and verification process
Membership Terms
Term: This Agreement shall commence on the date of execution and continue on a month-to-month basis.
Services: Member shall receive access to medical examination rooms, equipment, and related services based on their selected membership plan.
- Access to medical examination rooms as per plan allocation
- Beverly Hills business address for professional use
- Basic medical equipment access
- Discounted rates on specialty equipment rental
- Professional mail handling services
Representations and Warranties
Member Representations
Member hereby represents and warrants that:
- Member has full legal capacity and authority to enter into this Agreement
- All information provided to Medical Boulevard is true, accurate, and complete
- Member will comply with all applicable laws, regulations, and professional standards
- Member will not use the facilities for any unlawful or unauthorized purpose
- Member will maintain all required licenses and insurance throughout the term
Medical Boulevard Representations
Medical Boulevard represents and warrants that:
- We have the legal right to provide the services described herein
- The facilities will be maintained in good working order
- We will comply with applicable laws regarding facility operations
Facility Use Rules
General Facility Guidelines
- Maintain professional conduct at all times
- Respect shared spaces and other members
- Keep exam rooms clean and organized after use
- Report any maintenance issues immediately
- Follow all posted safety and security procedures
- No smoking or illegal substances on premises
Booking & Cancellation Policy
Booking Rules
- • Book up to 30 days in advance
- • Minimum 2-hour booking blocks
- • Maximum 8-hour consecutive booking
Cancellation Policy
- • 24+ hours notice: Full credit
- • 12-24 hours notice: 50% credit
- • Less than 12 hours: No credit
- • No-shows forfeit booking hours
Prohibited Activities
Strictly Prohibited
- Performing procedures outside your scope of practice
- Subletting or sharing access credentials
- Overnight stays or residential use
- Modifying facility infrastructure
- Installing personal equipment without approval
- Recording or photographing other members without consent
Professional Requirements
Licensing & Insurance
You must maintain throughout your membership:
Professional License
- • Active California medical license
- • Current DEA registration (if applicable)
- • Board certifications as claimed
- • Notify us of any license changes
Insurance Coverage
- • Minimum $1M per occurrence
- • Minimum $3M aggregate
- • Must name Medical Boulevard as additional insured
- • Annual proof of coverage required
Compliance Responsibilities
As a member, you are solely responsible for:
- HIPAA compliance for your patients and practice
- Proper disposal of medical waste in designated containers
- Maintaining patient confidentiality in shared spaces
- Following CDC guidelines for infection control
- Complying with all applicable medical practice laws
Medical Waste Management
Important Guidelines
- Use designated sharps containers for needles and blades
- Red bags for biohazardous waste only
- Regular waste for non-medical trash
- Never mix medical and regular waste
- Report full containers to staff immediately
Fees and Payment Terms
Membership Fees
Monthly Membership Fee: Member agrees to pay the monthly membership fee for their selected plan as set forth in the membership application.
Payment Terms: All fees are due and payable in advance on the first day of each month. Payment shall be made via automatic credit card charge or ACH transfer.
Initial Payment: The first month's membership fee and any applicable setup fees are due upon execution of this Agreement.
Payment Schedule
- • Monthly fees due on the 1st of each month
- • Automatic renewal each month
- • Pro-rated for partial first month
- • Annual prepayment option available
Accepted Payment Methods
- • Credit cards (Visa, MasterCard, Amex)
- • ACH bank transfers
- • Wire transfers (with prior approval)
- • Company checks (with approval)
Late Payment Policy
Late Payment Consequences:
- • 5 days late: $50 late fee
- • 10 days late: Access temporarily suspended
- • 15 days late: Additional $100 fee
- • 30 days late: Membership termination
- • Outstanding balances sent to collections
Refund Policy
Membership fees are non-refundable except in the following circumstances:
- Medical Boulevard ceases operations
- Loss of professional license (pro-rated refund)
- Facility unavailable for 7+ consecutive days
- Membership wrongfully terminated by us
Price Changes
Equipment & Property
Equipment Usage
Medical Boulevard provides access to professional medical equipment. By using our equipment, you agree to:
- Use equipment only for its intended medical purpose
- Complete required training before use
- Report any malfunction immediately
- Follow manufacturer guidelines and safety protocols
- Clean and sanitize after each use
Damage & Loss Liability
Financial Responsibility
- Equipment damage beyond normal wear and tear
- Full replacement cost for lost or stolen items
- Repairs needed due to misuse or negligence
- Professional cleaning if required
Laser Equipment Special Terms
High-Value Equipment Requirements:
- • Mandatory safety certification before use
- • Usage logs must be completed for each session
- • Equipment inspection before and after use
- • Additional insurance may be required
- • Damage liability up to full replacement value ($50,000-$200,000+)
Member Discounts:
- • Day Pass: 10% off rental rates
- • Part-Time: 12% off rental rates
- • Hybrid: 15% off rental rates
- • Full-Time: 18% off rental rates
Liability & Insurance
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDICAL BOULEVARD SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunities
- Personal injury or property damage from your use of facilities
- Acts or omissions of other members or third parties
- Loss or damage to personal property
- Service interruptions or equipment failures
Indemnification
Complete Hold Harmless Agreement
Member agrees to indemnify, defend, and hold harmless Medical Boulevard Inc., its officers, directors, employees, agents, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, and reasonable attorney's fees and costs, that the Indemnified Parties may incur or suffer and that result from, arise out of, or relate to:
- Member's use of the facilities, equipment, or services
- Member's breach of this Agreement
- Member's violation of any applicable law or regulation
- Member's professional services or medical practice
- Claims by Member's patients, employees, or invitees
- Member's negligent or intentional acts or omissions
- Any injury or damage to persons or property caused by Member
- Member's failure to comply with facility rules and regulations
Survival of Indemnification
Insurance Requirements
- ✓ Professional liability: $1M/$3M
- ✓ General liability: $1M/$2M
- ✓ Property damage coverage
- ✓ Additional insured: Medical Boulevard
- • Cyber liability insurance
- • Business interruption
- • Equipment coverage
- • Employment practices
Term and Termination
Agreement Term
This Agreement shall commence on the date of execution and shall continue on a month-to-month basis until terminated by either party in accordance with the provisions set forth herein.
Termination by Member
Member may terminate this Agreement by:
- Providing thirty (30) days advance written notice to Medical Boulevard
- Notice must be sent to: support@medicalblvd.com
- Settling all outstanding fees and charges
- Returning all access cards, keys, and Medical Boulevard property
- Removing all personal property from the premises
Termination by Medical Boulevard
Medical Boulevard may terminate this Agreement:
With 30 Days Notice:
- • For any reason with thirty (30) days written notice
- • Due to facility closure or renovation
- • Changes in business operations
Immediate Termination for Cause:
- • Material breach of this Agreement
- • Violation of law or regulation
- • Non-payment of fees
- • Endangering safety of others
- • Misuse of facilities or equipment
- • Loss of required professional license or insurance
- • Conduct detrimental to Medical Boulevard's business or reputation
Effects of Termination
Upon termination:
- Immediate loss of facility access
- Forfeiture of Beverly Hills business address
- 30 days to collect personal property
- Obligation to pay outstanding balances
- Loss of equipment rental discounts
Confidentiality
Confidential Information
Each party acknowledges that it may have access to certain confidential information of the other party. "Confidential Information" means all information disclosed by one party to the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Obligations
Each party agrees to:
- Maintain the confidentiality of all Confidential Information
- Not disclose Confidential Information to any third party
- Use Confidential Information solely for purposes of this Agreement
- Protect Confidential Information with reasonable security measures
Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach by the receiving party
- Was rightfully known by the receiving party prior to disclosure
- Is independently developed without use of Confidential Information
- Is required to be disclosed by law or court order
Dispute Resolution
Dispute Resolution Process
Any disputes arising from these Terms or your use of our services shall be resolved through:
Informal Resolution
Contact us at support@medicalblvd.com to attempt resolution within 30 days
Mediation
If informal resolution fails, mandatory mediation through JAMS in Los Angeles
Binding Arbitration
Final binding arbitration under JAMS rules if mediation unsuccessful
Class Action Waiver
Important Legal Notice
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action must be brought in the courts located in Los Angeles County, California.
General Provisions
Assignment
This Agreement is personal to Member and may not be assigned or transferred without the prior written consent of Medical Boulevard. Medical Boulevard may assign this Agreement without Member's consent.
Notices
All notices required under this Agreement shall be in writing and delivered:
- By email to the address on file
- By certified mail to the address on file
- By personal delivery with written receipt

Intellectual Property
All content, trademarks, and intellectual property related to Medical Boulevard are owned by us. Member may not use our intellectual property without written permission. Member retains ownership of any intellectual property created while using our facilities.
Privacy & Data Protection
Your use of our services is also governed by our Privacy Policy. You agree not to access or attempt to access other members' data or information. You are responsible for maintaining the confidentiality of your account credentials.
Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, or utility failures.
Modifications to Terms
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Medical Boulevard regarding your use of our services.

Acceptance of Terms
By using Medical Boulevard's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
